THE BIONIC COMMANDO REARMED 2 "MAKE SOMETHING RADD" REMIX CONTEST
OFFICIAL RULES

NO PURCHASE NECESSARY.

These are the official rules that govern how the Bionic Commando Rearmed 2 "Make Something RADD" Remix contest promotion will operate. This promotion will be simply referred to as the "Contest" throughout the rest of these rules.

In these rules, "we" "our" and "us" refer to Capcom Entertainment, Inc., the sponsor of the Contest. "You," "yourself," "I," "me," and "my" refers to an eligible Contest entrant.

1. CONTEST DESCRIPTION:

This is a skill-based Contest. The object of this Contest is to create a remixed version of the song "Papagayan Anthem" ("Song") which Capcom will be providing to those interesting in entering. For purposes of this Contest, each song remix you create and submit in the Contest will be called an "Entry." Entry eligibility will be determined using the criteria in Section 4 below. All eligible Entries received will be judged using the criteria in Section 7 below, and the judges will select one (1) grand prize winner and four (4) first place winners who will receive the prize described below.

2. What are the start and end dates?

This Contest starts at 12:01 AM Pacific Time on Thursday July 14, 2010 and ends at 11:59 Pacific Time PT Wednesday August 11, 2010. This will be referred to as the Entry Period throughout the rest of these rules. Entries must be received within the Entry Period to be eligible. Any received outside of those dates will be disqualified.

3. Can You enter?

You are eligible to enter this Contest if you meet the following requirements:

If you are a minor, you should ask your parent's or legal guardian's permission prior to submitting an Entry in this Contest. This Contest is void outside the geographic area described above and wherever else prohibited by law.

4. What constitutes an eligible Entry?

To be eligible for judging an Entry must meet the following content / technical requirements:

In addition: Entries containing "profanity" or that are lewd, obscene, pornographic, disparaging, indecent, or that are otherwise deemed to be inappropriate by Sponsor, in its sole discretion, may be disqualified, and will not be eligible for judging. Sponsor reserves the right in its sole and absolute discretion to decide if an Entry is inappropriate and may refuse to process or post any materials deemed objectionable or inappropriate by Sponsor.

5. How will my Entry be potentially used?

By submitting an Entry, Entrant (parent/legal guardian if winner is a minor in his/her state of resident) grants and assigns to Sponsor all title to the Entry, including all its copyright, trademark and other intellectual property rights, and grants and assigns to Sponsor and its designees a worldwide, royalty-free, perpetual, unrestricted, irrevocable and fully sublicensable right and license to consider, disclose, use, re-use, reproduce, modify, digitize or enhance, adapt, change, edit, publish, translate, create derivative works from, distribute, redistribute, and/or display Entry (in whole or in part) including any and all images or likenesses that appear in the Entry and/or incorporate all or part of his/her Entry in other works, all in any manner and in any form, format, or media anywhere in the world at any time, as well as in connection with any distribution or syndication arrangement with third parties or third-party sites, in any media format or medium and through any media channels and for any purpose, without further notice or compensation to Entrant. Entrant waives any and all "moral rights" Entrant may have in the Entry.

Sponsor is in no way obligated to use any Entry and entrant may or may not be given any credit or attribution if the Entry is subsequently used. Entrant agrees to waive all claims to receive any royalties of any kind now or in the future from Sponsor or its designees for any use of any Entry, including copyright or trademark royalties, and Entrant represents, warrants and agrees that no other party is entitled to claim any royalties from the use of the Entry as set forth in these full Official Rules. Entrant also acknowledges that other individuals may have submitted similar or identical Entries that Sponsor may have the right to use and that Sponsor's employees are continually developing product ideas and names that may predate the Entry.

If you (or, if you are a minor, your parent or legal guardian) do not want to grant us these rights to your Entry, please do not enter this Contest.

6. How do you submit your Entry?

To submit your Entry, you must submit Entries on Capcom-Unity (www.capcom-unity.com) as a message to username "bcr2remix" Please include a link to the file in the message along with your contact information.

We will only accept up to three (3) total Entries per person and e-mail address. In other words, two people may not enter using the same email address - you each must enter using a unique email address. We are not responsible for Entries that we do not receive for any reason, or for Entries that we receive but are not decipherable for any reason.

We will automatically disqualify: (1) Any incomplete or illegible Entry; and (2) Any Entries that we receive from you that are in excess of the Entry limit described above.

7. How will Entries be judged?

A panel of internal Capcom employees will review all eligible Entries received and select one (1) grand prize winner and four (4) first place winners based upon the following criteria:

The decisions of these judges are final and binding. If we do not receive a sufficient number of Entries meeting the Entry requirements, we may, at our discretion, choose no winner. In the event of a tie between any eligible Entries, the tie will be broken by an additional judge who will judge the tied Entries based on the criteria listed above.

8. What is/are the prize(s)?

One (1) Grand Prize Winner:

Four (4) First Place Winners

Approximate retail value of the merchandise component of the prize is: $99.95.

If for any reason the advertised prize is unavailable, we reserve the right to substitute a prize of equal or greater value. We will only award one (1) prize per person. If you are selected as a potential winner of this Contest:

  1. You may not exchange your prize for cash or any other merchandise or services;
  2. You may not designate someone else as the winner. If you are unable or unwilling to accept your prize, we will award it to an alternate potential winner.
  3. If you accept a prize, you will be solely responsible for all applicable taxes related to accepting the prize.

9. How will you know if you.re a winner?

On or around August 13, 2010, we, or a company acting under our authorization, will complete judging and one (1) potential grand prize winner and four (4) potential first prize winners will be determined based on the criteria stated above.

If you are a potential winner, we will notify you by sending a message to the e-mail address, the phone number, or mailing address (if any) listed on your Entry within seven (7) days following the selection. If the notification that we send is returned as undeliverable, or you are otherwise unreachable for any reason, we may award the prize to an alternate selected winner.

If there is a dispute as to who is the potential winner, we will consider the potential winner to be the authorized account holder of the e-mail address used to enter the Contest, or the person residing at the mailing address listed on your mail-in Entry.

If you are a potential winner, we may require you (or parent/legal guardian if winner is a minor in his/her state of resident) to sign an affidavit of eligibility, liability/publicity release and W-9 form. If you do not sign and return these required forms within the time period listed on the winner notification message, we may disqualify you and select an alternate randomly selected winner.

10. What other conditions are you are agreeing to by entering this Contest?

By entering this Contest you (your parent or legal guardian if you are a minor) agree, confirm, represent and/or warrant that:

  1. All rights in and to the Entry created by the Entrant shall be deemed to be a .work made for hire. (as such phrase is defined in and applicable under the Copyright Act of the United States of America and all other copyright laws throughout the universe) and shall be owned by Capcom Entertainment, Inc. and its affiliates (collectively, "Capcom") and to the extent necessary the Entrant hereby assigns all rights in the Entry to Capcom throughout the World for the full life of copyright and any and all extensions and renewals thereof.
  2. You understand that if you are chosen a Winner, you will need to submit a completed and signed (i) Release Form and (ii) a formal assignment of copyright to give effect to 10(A) above or You will be automatically disqualified.
  3. You understand You will not acquire a copyright interest in the Song by virtue of creating remixes of the Song.
  4. The Entry does not incorporate any samples or other materials which are subject to third party proprietary rights or otherwise infringe the rights of any third party.
  5. You will not distribute, publish, exploit or otherwise use, or allow others to distribute, publish, exploit or otherwise use, the Entry created by You without seeking the prior approval of Capcom.
  6. By submitting Your Entry You have full power and authority to accept and abide by these Official Rules and hereby indemnifies Capcom from and against any and all costs and damages incurred as a result of any breach of the representations and warranties made by You herein.
  7. That Sponsors. decisions will be final and binding on all matters related to this Contest.
  8. To the extent allowed by law, to release and hold harmless Sponsor, its respective parents, subsidiaries, affiliates, employees and agents from any and all liability or any injury, loss or damage of any kind arising from or in connection with this Contest or any prize won.
  9. That Sponsor may use your proper name and state of residence online and in print, or in any other media, in connection with this Contest, without payment or compensation to you, except where prohibited by law.
  10. You consent to the exclusive jurisdiction and venue of Santa Clara, California courts (state and federal) for any disputes arising out of this Contest.

RELEASE OF LIABILITY & PUBLICITY: You (and your parent/legal guardian if you are a minor) release Sponsor and its respective parents, affiliates, subsidiaries, officers, directors, agents, employees and all others associated with the development and execution of this Contest, from any and all liability with respect to, or in any way arising from, this Contest and/or acceptance or use or misuse of the prizes, including, but not limited to, liability for personal injury, bodily injury, death, damages or loss, or claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes your rights with regard to any elements, characters, or ideas contained in any Entry which arise from, relate to, or are connected with your use of the Web site, entry into the contest or Entry submission. Sponsor is not responsible for prize quality or utility. All entries become the property of ©Capcom. Upon entering the contest, Entrants waive any and all rights, title and interest in the Entry including, without limitation, all copyrights, and agree to forever waive all moral rights in the Entry, and any rights of privacy, intellectual property rights, publicity (where lawful) and any other legal rights that might preclude the Sponsor.s use, alteration or modification of the Entry or require Your permission to use it for any purpose. You (and/or your parent or legal guardian if you are a minor) agree to never sue or assert any claim against the Sponsors or any entity acting pursuant to Sponsors. direction for any use, or alteration of such Entry.

INDEMNIFICATION: YOU AND/OR YOUR PARENT OR LEGAL GUARDIAN IF YOU ARE A MINOR WILL INDEMNIFY SPONSOR, AND HOLD HARMLESS FROM ANY AND ALL CLAIMS, DAMAGES, EXPENSES, COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) AND LIABILITIES (INCLUDING SETTLEMENTS), BROUGHT OR ASSERTED BY ANY THIRD PARTY AGAINST ANY OF THE INDEMNITEES DUE TO OR ARISING OUT OF THE YOUR ENTRY OR YOU CONDUCT IN CREATING AN ENTRY OR OTHERWISE IN CONNECTION WITH THIS CONTEST, INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR TRADEMARK INFRINGEMENT, COPYRIGHT INFRINGEMENT; VIOLATION OF AN INDIVIDUAL'S RIGHT OF PUBLICITY OR RIGHT OF PRIVACY; OR DEFAMATION.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

11. What if something unexpected happens and the Contest can.t run as planned?

If someone cheats, or a virus, bug, catastrophic event, or any other unforeseen or unexpected event that cannot be reasonably anticipated or controlled, (also referred to as force majeure) affects the fairness and / or integrity of this Contest, we reserve the right to cancel, change or suspend this Contest. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Contest, we reserve the right to select winners from among all eligible Entries received before we had to cancel, change or suspend the Contest.

Computer "hacking" is a crime. If you attempt to compromise the integrity or the legitimate operation of this Contest by hacking or by cheating or committing fraud in ANY way, we may seek damages from you to the fullest extent permitted by law. Further, we may ban you from participating in any of our future Contest, so please play fairly.

12. How can you find out who won?

If you send a self-addressed stamped envelope to "Bionic Commando Rearmed 2 "Make Something RADD" Remix," Capcom Entertainment, Inc., 800 Concar Drive, Suite 300, San Mateo, CA 94402-2649, on or before December 31, 2010 we will provide you with a list of winners that received a prize worth $25.00 or more.

We will also post the names of confirmed winners online after August 31, 2010 at the Bionic Commando Rearmed 2 .Make Something RADD. Remix contest winners. blog post on Capcom-Unity. This list will remain posted until December 31, 2010.

13. Who is sponsoring this Contest?

Capcom Entertainment, Inc., 800 Concar Drive, Suite 300, San Mateo, CA 94402-2649 is the sponsor of this Contest. All entries become the exclusive property of Sponsor and, will not be acknowledged or returned, and will be subject to the privacy information published at http://www.capcom.com/capcom/legal_privacy/privacy.html
